Terms of Service

1. Agreement to Terms

By accessing or using the Flat Rate Wholesale platform ("Service"), operated by RE Engine LLC dba Flat Rate Wholesale ("Company," "we," "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Flat Rate Wholesale provides a real estate wholesale disposition platform connecting deal sources (sellers) with buyers (investors). We market wholesale real estate contracts to our investor network for a flat fee. We are not a licensed brokerage and do not provide real estate brokerage services. All transactions are assignments of contract or double closings as permitted by law.

3. Account Registration

To use certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information
• Keep your password secure and confidential
• Accept responsibility for all activity under your account
• Notify us immediately of any unauthorized use

4. Flat Fee Structure

Our disposition fee is a flat $5,000 per deal, payable at closing. This fee is transparent and disclosed to all parties. There are no hidden markups, spreads, or additional disposition fees. Title fees, closing costs, and other third-party charges are separate and disclosed in the closing statement.

5. Deal Source Responsibilities

If you submit deals as a deal source, you represent that:

• You have a valid, assignable contract or legal authority to sell the property
• All property information provided is accurate to the best of your knowledge
• You will disclose any known material defects or encumbrances
• You have authority to assign or transfer the contract

6. Buyer Responsibilities

If you participate as a buyer, you acknowledge that:

• You are responsible for your own due diligence on all properties
• ARV estimates, repair estimates, and spread calculations are estimates only and not guarantees
• Offers are binding once accepted by the seller
• Proof of funds may be required for certain transactions

7. Communications Consent

By creating an account and opting in, you consent to receive:

• Email communications: Deal alerts, marketing packages, transaction updates, and platform notifications
• SMS/Text messages: Deal alerts and time-sensitive notifications (if opted in)
• Phone calls: Follow-ups on submitted offers, deal inquiries, and account matters

You may opt out of marketing communications at any time via your account settings or by following the unsubscribe instructions in any message. Message and data rates may apply for SMS. Message frequency varies.

8. Disclaimer of Warranties

The Service is provided "as is" without warranties of any kind. We do not guarantee the accuracy of property data, valuations, repair estimates, or any financial projections. We are not responsible for the condition of properties, the performance of investments, or the actions of other users.

9. Limitation of Liability

To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to lost profits, investment losses, or data loss.

10. Intellectual Property

All content, features, and functionality of the Service are owned by the Company and protected by copyright, trademark, and other intellectual property laws.

11. Termination

We may terminate or suspend your account at any time for violation of these Terms. You may close your account at any time by contacting us. Termination does not affect obligations arising from prior transactions.

12. Governing Law

These Terms are governed by the laws of the State of Texas. Any disputes shall be resolved in the courts of Harris County, Texas.
